Our tax practice handles a wide variety of federal, state, and local tax matters. Our work in the tax area involves many aspects of tax planning, including rendering tax advice relating to business start-up operations, financing, ownership changes, taxable and tax-free acquisitions, reorganizations, liquidations, dispositions, and terminations of businesses.
Our work includes analysis of the tax consequences of proposed transactions, developing alternative transactional strategies, rendering tax opinions, and obtaining private letter rulings from the Internal Revenue Service. Our representation of business clients includes advice on choice of entity, including C corporation, S corporation, partnership, limited partnership, limited liability partnership, and limited liability company.
We also represent tax-exempt organizations and foundations addressing issues of formation and operation. In state and local tax matters, we represent clients in disputes with various state and local revenue departments in cases involving income, ad valorem property, and gross receipts and compensating taxes. We also help clients to plan for state and local taxes and request rulings from state tax agencies that have private letter ruling programs.
